Service Delivery

  • Services are provided on a project basis or through ongoing contracts
  • Timelines and deliverables are specified in individual project agreements
  • We reserve the right to subcontract portions of work to qualified partners
  • All deliverables remain our property until full payment is received

User Obligations

Client Responsibilities

  • Provide accurate project requirements and specifications
  • Supply necessary materials, content, and access in a timely manner
  • Review and approve deliverables within agreed timeframes
  • Make payments according to the agreed schedule
  • Maintain confidentiality of proprietary information shared

Prohibited Uses

  • Using our services for illegal activities or purposes
  • Attempting to gain unauthorized access to our systems
  • Interfering with the proper functioning of our services
  • Violating intellectual property rights of third parties
  • Engaging in activities that could damage our reputation

Payment Terms

Payment Structure

  • Project fees are determined based on scope, complexity, and timeline
  • Payment schedules are established in individual project contracts
  • Typically 50% upfront payment required to begin work
  • Remaining payments tied to project milestones and deliverables

Payment Policies

  • All payments are due within 30 days of invoice date
  • Late payments may incur interest charges of 1.5% per month
  • Work may be suspended for accounts more than 30 days overdue
  • All prices are in USD unless otherwise specified
  • Additional work outside original scope will be billed separately

Refund Policy

  • Refunds are considered on a case-by-case basis
  • Work completed and delivered cannot typically be refunded
  • Unused prepaid amounts may be refundable at our discretion
  • Refund requests must be made in writing within 30 days

Intellectual Property

Client IP Rights

  • Clients retain rights to their original content and materials
  • Upon full payment, clients receive rights to custom-developed code
  • Rights transfer includes source code and documentation
  • Clients may modify and distribute their custom solutions

Our IP Rights

  • We retain rights to our proprietary tools, frameworks, and methodologies
  • General knowledge and experience gained remains our property
  • Pre-existing code libraries and components remain our property
  • Our name, logo, and branding cannot be used without permission

Third-Party IP

  • Third-party libraries and services are subject to their own licenses
  • Clients are responsible for obtaining necessary licenses
  • We will identify known third-party dependencies in deliverables
  • Copyright infringement by clients is their sole responsibility

Confidentiality

Mutual Confidentiality

  • Both parties agree to maintain confidentiality of proprietary information
  • Confidential information includes business plans, technical specifications, and trade secrets
  • Non-disclosure obligations survive termination of the agreement
  • Confidential information may only be disclosed to authorized personnel

Exceptions

  • Information that becomes publicly available through no breach of confidence
  • Information independently developed without use of confidential information
  • Information required to be disclosed by law or court order
  • Information with written consent from the disclosing party

Warranties and Disclaimers

Limited Warranties

  • We warrant that services will be performed in a professional manner
  • We warrant that deliverables will substantially conform to specifications
  • We will correct defects in our work for 90 days after delivery
  • Our liability is limited to re-performing defective services

Disclaimers

  • Services are provided 'as is' without warranties beyond those stated
  • We disclaim all implied warranties including merchantability and fitness
  • We do not warrant that software will be error-free or uninterrupted
  • Third-party services and integrations are provided without warranty

Limitation of Liability

Liability Limits

  • Our total liability shall not exceed the fees paid for the specific project
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for loss of profits, data, or business opportunities
  • These limitations apply regardless of the theory of liability

Exceptions

  • Gross negligence or willful misconduct by our team
  • Breach of confidentiality obligations
  • Intellectual property infringement by our work product
  • Liability that cannot be limited by applicable law

Termination

Termination Rights

  • Either party may terminate with 30 days written notice
  • Immediate termination allowed for material breach after 7-day cure period
  • We may terminate immediately for non-payment after 30 days
  • Client may terminate for convenience with payment for work completed

Effect of Termination

  • All unpaid fees become immediately due and payable
  • Confidentiality obligations survive termination
  • Deliverables for paid work will be provided upon final payment
  • Both parties must return or destroy confidential information

General Provisions

Governing Law

  • These terms are governed by the laws of California, USA
  • Any disputes will be resolved in the courts of California
  • Both parties consent to jurisdiction in California courts
  • California law applies without regard to conflict of law principles

Miscellaneous

  • If any provision is invalid, the remainder remains in effect
  • No waiver of rights unless in writing and signed
  • These terms constitute the entire agreement between parties
  • Amendments must be in writing and signed by both parties
